3. Client Responsibilities

  • Clients must provide clear and accurate requirements for their projects.
  • Any delays caused by the client (e.g., lack of response, incomplete information) may impact project timelines.
  • Clients are responsible for testing and reviewing delivered software within the agreed-upon timeframe.

4. Payment & Billing

  • Payment terms are defined in the individual project agreement.
  • Invoices must be paid as per the agreed schedule. Delayed payments may result in work suspension.
  • Deposits, milestone payments, and refund policies are specified in client contracts.

5. Intellectual Property Rights

  • Custom-built software and solutions remain the intellectual property of JaySpur until full payment is made.
  • After full payment, intellectual property ownership is transferred as per the terms agreed with the client.
  • We retain the right to showcase completed projects (without sensitive data) in our portfolio unless otherwise agreed.

6. Confidentiality

  • Both parties agree to protect confidential information shared during the project.
  • We do not share client data or project details with third parties unless required for service fulfillment or by law.

7. Warranties & Support

  • We provide post-development support as per the agreed maintenance terms.
  • Any defects or bugs discovered within the warranty period (if applicable) will be fixed without additional charges.
  • Additional feature requests or modifications after project completion will be charged separately.

8. Limitation of Liability

  • JaySpur is not liable for any business loss, financial loss, or indirect damages resulting from the use of our software solutions.
  • We do not guarantee uninterrupted or error-free operation, but we strive for high-quality solutions and reliability.

9. Third-Party Services

  • If a project involves third-party APIs, tools, or integrations, we are not responsible for their availability or changes in their terms.
  • Clients are responsible for obtaining necessary licenses for third-party services if required.

10. Termination of Services

  • JaySpur reserves the right to terminate a project if the client violates the agreed terms, engages in unethical behavior, or fails to make payments.
  • Clients may terminate their engagement with JaySpur at any time, subject to payment obligations for work already completed.

11. Governing Law & Disputes

  • These Terms are governed by the laws of Pakistan.
  • Any disputes will be resolved through negotiation, arbitration, or legal proceedings as per applicable laws.

  • We may update these Terms from time to time. Continued use of our services implies acceptance of any modifications.
